With that being said, the 90th day was December 4th, 2020. We have been notified that there is a backlog with the SBA on forgiveness applications with no end date. Without further action, this would leave the deal in a pending status.  To protect shareholder value and bring the acquisition to completion, both parties have agreed to escrow the PPP funds with Silicon Valley Bank until forgiveness occurs.   We can now file a Certificate of Merger with the State of Delaware regarding the transaction. This is expected to be completed by Tuesday, December 15th, 2020.  We will then file an 8k with the SEC to conclude the transaction. We at Alpine 4 pride ourselves on being creative problem solvers and we appreciate your patience as we implement our solution.

I dumped, sadly...bought back in at .20 and .30, though with a much smaller position. But I cashed in bigly on FRSX today per the $2.50 price target you mentioned somewhere in these pages, that alone earned you the Lagavulin 16 I will be sending this weekend.

Hmmmm those are two very different animals and depends first on how the SS. Let me explain:

- TSNP has a A/S of 5B and 3.3 O/S which is how the shorts have us by the shorthairs at the moment. If they wanted to lay claim to those they'd have to provide evidence in court. That doesn't seem like it happened (although if the court is slow to update sometimes so don't count the chickens just yet, but nobody has opposed this the entire way so far and they've had many opportunities which is why I'm not worried). After that period is officially closed, we're expecting a reduction to 2B O/S or as low as 800M (after setting aside converted Class A shares for the sale, and likely some compensation for himself). Lazar will do this by issuing an 8k and that can come at any time it will run if the O/S is reduced by a significant amount. 

The second leg of this is the Merger. From what I saw on the court update, termination is coming on 1/8 and we think somebody is in hand already based on Lazar greatly accelerating the way he normally does things, and he's been in this one since 2018 which is a long time for him (nobody knows what the merger company might be theres rumors floating around for everything from EV company to Coinbase to Pornhub).

Outcomes look like this best to worst:

1) OS is reduced to 800M - 1B and runs to .01 - .03 if it was announced soon a .01 run is pretty much assured, Merger is good (like TSNP) and no R/S it runs like a runaway freight train ala ALPP right now skys the limit. If this dream situation is happening happening I'm probably not selling much on the big run, 1M or 2M at Pennyland and then seeing if I can become a Millionaire overnight.

2) OS is reduced to 800M - 1B and it runs to .01 - .03, Merger is okay but not R/S or Good with an R/S  and it pops and little then falls maybe .05 - .07 range on the top end, settles in .01 - 03 range. This is the one I'm hoping for.

3) OS is reduced to 2B and it runs .007 - .01 with lots of resistance to break a penny, the quickness of the Merger would mean a lot in this situation, and the quality of the company whether or not an R/S is on the table is a big factor as well. This probably has a .03 - .05 ceiling depending on those factors. R/S could really damage it. This seems to be the most likely of the outcomes to me.

Anyone got any stonk-y info on NK?  Clinical stage biotech.

Patrick Soon-Shiong has pledged to cure cancer with his vast fortune ($9 billion) and gov't support.  When NantKwest's (NK's) pioneer NK92 cell line trials to treat multiple cancers weren't going as well as he liked, Soon-Shiong bought Altor BioScience to get it's superantagonist to make NK cells last longer in the body to eat cancer.  NK gets any positive news on the cancer front (probably, pancreatic cancer) and this thing is going to fly.  In addition, NK just finished their >animal< trials on an adenoviral vector COVID vaccine, but the results were so promising they're already talking to the FDA about using it as a way to boost other COVID vaccinations in >humans<.  This would be taken as an enterically coated capsule, so there's no issue with shots or refrigeration.  The data from these COVID trials was released late yesterday afternoon and was the reason for today's jump in share price. Soon-Shiong owns roughly two-thirds of the company's stock putting his money where his mouth is.  As an aside and as you mentioned, he owns 4.5% of the LA Lakers as he purchased Magic Johnson's minority stake.  NK stock has moved from $9.50 to today's close of 12.35 in less than a week.  There's one more reason to buy the stock.  While watching me grow my vast financial holdings, you will be kicking yourself knowing you coulda/woulda/shoulda.

Last bit for tonight. Just checked and found another update from the court was added today. I believe this means he met all the requirements for notification of the claims period. Could see that 8k sooner rather than later which would be good for those upper tiers of outcomes! Feels close, will be F5 watching closely on Monday

Was in a rush when I typed this, but the reduction will come to the Authorized shares (A/S) not the O/S. The O/S is the outstanding shares aka the ones you and I and everybody trading this stock have in our accoutns. We know that number is definitely more than the original 75M A/S because it has traded a Billion shares in a day, that is why we thing the number is probably between 800M (with MMs cooking the numbers trading stuff back and forth) and 2B

Also David Lazar has at this point rehabilitated a 100 tickers and is like 90% effective in selling them, he has never done a R/S and it would be dangerous to his business to have that rep, but I want to be very clear that MANY of the companies he's sells almost instantly get hit with a R/S  from the incoming company, the lower the A/S the less the need for this. So the ideal situation for us is that the A/S reduction happens soon to give runway for whoever wants to take profits, and then the R/M comes in January when everybody is ready for it. Also remembering the R/S isn't inherently bad it retain your value unless people dump, which is what usually happens because people haven't adequately taken profits. The more settlement and support building between the initial run and the merge the less a R/S (as long as it wasn't a big one, I'm looking at you QUTR ya turkey) would potentially damage the value

Just wanted yall to know the risks of holding into the merger, although ultimately that is where the greatest rewards lie (aka how people are suddenly millionaires  on TSNP in a few weeks, or have a chance to became REALLY wealthy if they think HUMBL can do what we think).

Did you keep any of your FRSX or sell it all on the spike? I'm out but still watching it.

Since RCRanger03 likes to follow David Lazar's shell companies I did some research and found this article written by DL

which describes the S1, 15C2-11’S, and DTC eligibility process a company has to go through to be listed. Based on this article

I can see why companies would buy a shell company to do a reverse merger (R/M) to get listed quicker.

I play quite a few shells not just Lazar, but he is the most consistent. XMET is actually an interesting outlier in his history in that he's not usually tended to take on something with this much baggage (or maybe the baggage isn't as much as it seems), he's been in it since 2018 which is longer than almost anything else I've seen associated, and his typical schedule is moving at 2-3x speed

Let me ask then, what is stopping ALPP from issuing more stock? And do you think that’s a likely scenario in the future? Probably not if they’re trying to get up listed?

Technically nothing stops ALPP from doing so and they have diluted a little this year, 10M - 15M shares since the beginning of the year, but no I do not particularly see them doing so at the moment. There was also talk of an R/S when we were going to push hard for uplisting last year, but that has since been taken off the table and they were confident they could do it naturally (now we can all see why).  I don't want to pretend like nothing can cause it to go down now. It was at $0.44 last year in November and then crashed, but there is so much more going for it now, a much stronger year on Revs, IA acquisition, new partnerships like Varco, restructured debt. 

I'm sitting on my shares for the foreseeable future, but not going to fault anyone for selling out. I'd encourage keeping at lease a small position and forgetting about until a year or two down the road.

In other news that I'm watching:

- FPVD might get interesting early this week. I still have half a milly at .0015 from those back to back .001 to .008 runs and their BigToken merger presumably has been on hold due to the hotshot new CEO unexpectedly giving up the ghost in Mexico right as things were finalizing. The original 8k said the ticker change was due at the beginning of December, so it's been falling since that didn't happen. Shareholder email went out this weekend that has all the markers of the merger being completed, and reminding that BigToken fka as FPVD would be presenting at LD Micro (that SRAX, the progenitor of BigToken, recently acquired) on Tuesday. If it happened on Friday, may see news Monday so they can look hot at the presentation

XMET big news. XMET has been sold! I'm reading 8k now. Looks like a Chinese buyer Wei Tian. Not sure what this means yet, but it is a surprise (not the 8k we were expecting on the SS reduction) so put previous plan of action. Will update again before open when I've done more research.

Sale was for $220k to Lazar, and he is completely out now

Info from 8k on Wei Tian - Wei Tian has a Bachelor Degree in Finance at Capital University of Economics and Business, and a Bachelor Degree in International Economy and Trade at Shandong University. Wei Tian is a certified Futures Advisor, Securities Analyst, and Market Risk Analyst. We Tian worked at Morgan Stanley, in the Department of Global Capital Markets in HK, at China Futures Co., Ltd., in the Department of Research, and at China Securities Co., Ltd., in the Department of Investment Banking/Research. Wei Tian participated and issued the Deutsche Bank Subprime Mortgage Bonds Derivatives Plan, participate and issued the HSBC trust asset-backed securitization Plan, and participated in multiple IPOs. Wei Tian has been appointed as a Chief Executive Officer, President, Secretary, Treasurer and Chairman of Board of Directors of the Company.

I really like the connections to Morgan Stanley and Deutsche Bank, involvement in past IPOs. 

In as least of a racist way I can put it, I don't like being in bed with the Chinese. Probably means it's a Chinese company coming in. We've expected for a while that the R/M was already effectively sold, but I don't like that Lazar is out this early. Danger of a R/S instead of a share cancellation just went WAY up.  Lazar doesn't R/S, but the companies that come generally do.

Short answer... If you wanted to be safe then yes you should sell. There may be a spike on open from the news and the fact that the creds are good, and no R/S was in the 8k means people may have MORE confidence in the short term.  

Lazar's exit before a Share Reduction puts it more oriented on the lower end of the outcome spectrum. The Chinese company bought it as a 8.2B A/S ticker. Those of us who have gotten burned by R/S are not excited now.

The reward is still definitely here and I wouldn't be shocked if it ran to the upper .00s today just on the news and excitement, but the risk went up exponentially. Also the best outcomes are much less likely.

I'm much more likely to sell 80% today than I was last night, and that has me disappointed. I will post again about 10 mins before the bell with exactly what I'm going to do, right now it's 80% out today on a spike, and 20% hold for the hope that it's some Chinese EV battery company.

You should get a spike early. I don't think most retails traders are looking too closely. They see an 8k when they were expecting an 8k, they see Morgan Stanley and Deustchbank and IPOs.

This could very well still absolutely BOOM, which has me wanting to keep some significant shares in. I have the entry to do that, but the risk on high PPS buyins is high.

My Final Pre-Bell plan on XMET.0

I'm going 60% sell today in 1M share upward stages on a spike (watching for a double top on the chart or more 8ks), and 40% keep for now.

Good luck to yall, if you stay in I hope I'm wrong about the danger of the R/S. The fact that they closed the deal while claims was open means the reduction could still come I suppose which is why I'm keeping a larger position than initially

Always nice to check in on the  portfolio and find your single largest holding (LGND) up 10%+. Not sure why, but she's also a fickle one, so  it could be back to the 80's before I know it. At least cost averaging down at $80 means i'm finally back up on this bitch overall.

Now that ALPP has crossed that glorious threshold, do you have any intention of selling? Or are you thinking this could go much higher?

ihub has some nuggets, but it's digging through a see of spam and PnDs to find them. 

The pennystocks discord is a better version of that, with the same issues

Other than that I actually prefer doing my own digging, so that I don't get too caught up in the group think/PnD

Naw dog, I already sold TOO much on the run up, everything I have is free and locked in the safe for a year or more. If I follow my rules I'm not even allowed to buy more now.

 

All my XMET bros sorry it shook out that way, thought you at least get a little bump to get out on, I'm holding a goodly amount through the 1/8 court date, but not confident in it. If you are looking offload 1M or more shares the calculus is tough, because you need volume to move that share size on that ASK. So if you wait it may not end up being possible. Since I've already profited so much from my shares I'll just write the remained off if they crash, but that is the risk you'll have to decide on if you're in the red.
